These Terms of Service ("Terms") are a binding agreement between you and Divine Standard LLC, a Delaware limited liability company ("Divine Standard," "we," "us," or "our"). They apply to our website at divinestandardllc.com and to all of our services, including your personal AI business consultant, The Standard program, membership, courses, and add-on services (together, the "Services").
Please read these Terms carefully. Section 20 contains a binding arbitration agreement and a class action waiver that affect how disputes between you and us are resolved. You may opt out of arbitration within 30 days, as explained in Section 20.
1. Agreeing to These Terms
You accept these Terms when you check the box agreeing to them, create an account, make a purchase, or use the Services. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle your information and is part of these Terms.
2. Eligibility and Accounts
- You must be at least 18 years old and able to enter a binding contract.
- The Services are offered to people located in the United States, and our guidance is built around U.S. federal and state requirements.
- To get access, you will answer a few questions so we can verify you are a real person. You agree to give accurate, current information and to keep it up to date.
- Your account is for you alone. You may not share it, sell it, or let anyone else use it. You are responsible for keeping your login secure and for all activity on your account. Tell us right away at info@divinestandardllc.com if you believe your account has been used without your permission.
- We may decline or revoke access if we cannot verify you or if we reasonably believe an account is fraudulent or automated.
3. Our Services
Divine Standard provides business education and consulting through an AI-powered business consultant. The Standard is our 3-Month Launch Plan, which guides you through starting your business, including shaping your idea, setup guidance, a business plan, a brand and logo, and launch planning, along with courses that become available during your membership.
Features marked "Coming Soon," such as the Divine Standard Academy, the Website Builder, We File It for You, the Divine Standard App, and One-on-One Strategy Sessions, are not yet available. We do not promise that any of them will launch by a particular date, or at all, and they are not part of what you pay for until they are offered. We may add, change, or remove features of the Services over time.
4. Education and Consulting Only. Not Professional Advice.
Divine Standard is not a law firm, accounting firm, tax preparer, financial advisor, investment adviser, broker, lender, or credit repair organization. Nothing we provide, including anything your consultant says or creates, is legal, tax, accounting, financial, or investment advice, and using the Services does not create an attorney-client, accountant-client, fiduciary, or advisory relationship of any kind.
For legal, tax, accounting, financial, or investment questions, including choosing a business structure, tax elections, contracts, partnerships, loans, and funding, consult a licensed professional in your state. We do not file documents, submit applications, or pay fees on your behalf unless you purchase a service that expressly says we will. You are responsible for your own filings, applications, licenses, permits, taxes, and deadlines.
5. AI-Generated Guidance
Your consultant uses artificial intelligence. AI can make mistakes, and its output may be incomplete, out of date, or wrong, including information about filing requirements, fees, licenses, permits, and deadlines, which change often and vary by state, county, and city.
- Before you act on anything, verify it with the official government agency or a licensed professional. When your consultant links an official source, that source controls.
- You are solely responsible for the decisions you make and the actions you take based on the Services.
- AI output is generated from patterns, so names, logos, text, or ideas created for you may be similar to material created for others or already in use.
6. No Guarantee of Results
We do not guarantee any outcome, including that you will start a business, earn income or profit, obtain licenses, permits, or approvals, qualify for financing or funding, or succeed. Your results depend on your own decisions, effort, market, and circumstances. Examples on our website, such as "Maria" and "Sunday Plate Tacos," are illustrations created to show how the Services work. They are not real customers, and they are not typical or promised results.
7. The Standard: Price and Payment
- Price. The Standard costs $999, paid in full, or in 3 monthly installments of $369 (a total of $1,107). The price shown at checkout is the price you pay. Prices are in U.S. dollars, and any applicable sales tax is added at checkout.
- Payment plan. If you choose installments, your first payment is charged at checkout and the remaining 2 payments are charged automatically to your payment method about every 30 days. Choosing the payment plan is a commitment to pay all 3 installments, even if you stop using the Services, unless you cancel within the 7-day refund window in Section 10.
- What it includes. The Standard includes your 3-Month Launch Plan and your first 3 months of membership, beginning on the date of purchase.
- Payment processing. Payments are processed by our payment processor, Stripe. You authorize us and Stripe to charge your payment method for all amounts you agree to. You must provide a valid payment method that you are authorized to use.
- Failed payments. If a payment fails, we may retry it and may pause your access until the balance is paid. Amounts you owe remain due.
8. Membership and Automatic Renewal
After your first 3 months, your membership renews automatically every month and your payment method is charged $97 per month (or $49 per month if you are a Founding Member), plus any applicable tax, on the same day each month, until you cancel.
- Your consent. At checkout, the price, the payment schedule, and these automatic renewal terms are shown clearly before you pay. You will be asked to agree to the automatic renewal and to these Terms, and nothing is pre-checked for you. We keep a record of your consent.
- Confirmation. After you purchase, we email you a confirmation that you can keep, showing what you bought, the price, the renewal terms, and how to cancel.
- Reminders. We email you a reminder 3 to 21 days before your included 3 months end and your first monthly membership charge begins. We also send a reminder at least once a year while your membership is active, showing your plan, how much and how often you are charged, and how to cancel.
- Cancel anytime, online. You can cancel immediately online with the cancel button in your account settings, without calling or waiting, or by sending an email to info@divinestandardllc.com from the email address on your account. If we ever show you an offer when you cancel, the cancel button will be shown with it. Cancellation takes effect at the end of your current paid month, you keep access until then, and we confirm your cancellation by email.
- No partial refunds. Monthly membership charges are not refunded for partial months, except where required by law.
- Price changes. We may change membership prices. We will email you at least 7 days and no more than 30 days before a new price applies to you, with instructions for canceling, and you can cancel before it takes effect. Founding Member pricing is handled in Section 9.
9. Founding Members
Founding Members are customers who purchase The Standard before the Divine Standard Academy launches, as determined by us and announced on our website. Founding Members pay $999 for The Standard and keep the $49 per month membership rate for as long as their membership remains continuously active. If a Founding Member cancels, or the membership ends for nonpayment, the founding rate ends and cannot be restored. Founding Member status is personal and cannot be transferred.
10. Refunds
- 7-day money-back guarantee. You can request a full refund of The Standard within 7 days of purchase, as long as you have not yet received your business plan or logo. If you are on the payment plan, we refund the installments you have paid and cancel the rest. To request a refund, email info@divinestandardllc.com from the email address on your account.
- After 7 days, or once your business plan or logo has been delivered, The Standard is non-refundable, except where required by law.
- Expert Review is non-refundable once your review has been delivered.
- Membership refunds are covered in Section 8.
- Chargebacks. If you have a billing problem, please contact us first so we can fix it. If you file a chargeback for a valid charge, we may suspend your account while it is resolved.
11. Add-On Services
Add-ons, such as Expert Review ($297), are purchased separately and are not included in The Standard or membership unless we say so. Expert Review is written business feedback from a member of the Divine Standard team. It is business guidance only and is not legal, tax, financial, or investment advice. Delivery times we give are estimates. Government, state, and filing fees are your responsibility unless we expressly state otherwise.
12. Your Information and Content
You keep ownership of the information, ideas, and materials you share with us ("Your Content"). You give us a non-exclusive, worldwide, royalty-free license to use, store, process, and copy Your Content only as needed to provide, maintain, secure, and improve the Services, as described in our Privacy Policy. You are responsible for Your Content and confirm you have the right to share it. Do not share information the Services do not ask for, such as Social Security numbers, bank logins, or full card numbers, in your conversations.
13. What You Own
Your business plan, logo, brand materials, and other deliverables created for you through the Services ("Your Deliverables") are yours to keep and use for any lawful purpose, even if you cancel. To the extent we hold any rights in Your Deliverables, we assign them to you once the related purchase is paid in full.
Because Your Deliverables may be created with the help of AI, they may not be eligible for copyright protection and may be similar to material created for others. We do not guarantee that any name, logo, or other deliverable is available for use or registration as a trademark, business name, or domain, or that it does not infringe the rights of others. Search official trademark and business-name records, and consult an attorney if needed, before relying on them.
14. Our Intellectual Property
The Services, including the platform, the consultant, courses, lessons, templates, checklists, text, design, software, and the Divine Standard name and logo, belong to Divine Standard LLC or our licensors and are protected by law. While your access is active, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your own business. You may not copy, resell, redistribute, publicly share, or create competing products from our courses or other materials. If you send us feedback or ideas, we may use them without obligation to you.
15. Acceptable Use
You agree not to:
- Share your account or resell, sublicense, or provide access to the Services to others.
- Access or use the Services with bots, scrapers, or other automated tools, or try to get around verification or security measures.
- Reverse engineer, copy, or extract the Services, the consultant, or its instructions, or use them to build a competing product.
- Use the Services for anything unlawful, fraudulent, or deceptive, including misleading lenders, customers, or government agencies.
- Upload malicious code, interfere with the Services, or harass or abuse our team.
- Infringe anyone else's rights.
16. Third-Party Services
The Services rely on third parties, including our payment processor (Stripe), hosting providers, and AI service providers, and may link to government websites and other outside resources. We are not responsible for third-party websites, services, or content, and your use of them may be governed by their own terms.
17. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DIVINE STANDARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, OR ERROR-FREE. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DIVINE STANDARD AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100. THESE LIMITS DO NOT APPLY WHERE THE LAW DOES NOT ALLOW THEM.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Divine Standard and its members, managers, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your business or its operations, Your Content, your misuse of the Services, or your violation of these Terms or of any law or the rights of others.
20. Dispute Resolution, Binding Arbitration, and Class Action Waiver
- Talk to us first. Before starting any formal dispute, email info@divinestandardllc.com with a description of the problem and what you are asking for. Both of us agree to try in good faith to resolve it within 30 days.
- Binding arbitration. If we cannot resolve it, you and Divine Standard agree that any dispute arising from or relating to the Services or these Terms will be resolved by binding individual arbitration, not in court, except as described below. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. It may be held by video or phone, or in the county where you live. Payment of filing and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. The Federal Arbitration Act governs this section.
- Exceptions. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may also go to court to stop infringement or misuse of intellectual property.
- Class action waiver. You and Divine Standard each agree to bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not combine claims of more than one person.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing info@divinestandardllc.com within 30 days after you first accept these Terms, with your name, your account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
- If this section is unenforceable. If the class action waiver is found unenforceable for a claim, that claim will be decided in court and not in arbitration, and the rest of this section still applies to other claims.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules, and by the Federal Arbitration Act for Section 20. Any claim not subject to arbitration will be brought in the state or federal courts located in Georgia, and you and we consent to their jurisdiction, except that small claims may be brought in the county where you live. Nothing in these Terms takes away rights you have under the consumer protection laws of your state that cannot be waived by contract.
22. Suspension and Termination
You may stop using the Services and cancel your membership at any time. We may suspend or end your access if you violate these Terms, fail to pay, use the Services unlawfully, or put others or the Services at risk. If we end your access without cause, we will refund any prepaid amount for the period of access you did not receive. Sections that by their nature should continue, including payment obligations already owed and Sections 12 through 21, 24, and 25, survive after your access ends.
23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services before they take effect and update the "Last updated" date above. Changes apply going forward and do not apply to a dispute you have already notified us about. If you continue using the Services after changes take effect, you accept the updated Terms. If you do not agree, you may cancel.
24. General
- Electronic communications. You agree to receive notices, receipts, and other communications from us electronically, including by email, and that electronic agreements and notices satisfy any requirement that they be in writing.
- Entire agreement. These Terms, our Privacy Policy, and any terms shown to you at checkout are the entire agreement between you and us about the Services.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of internet, hosting, or AI providers, natural disasters, or government action.
- Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
25. State-Specific Rights and Notices
We follow the federal Restore Online Shoppers' Confidence Act and the automatic renewal and consumer protection laws of the states where our customers live. Where a state gives you more protection than these Terms, that law controls for you. In particular:
- California residents. Under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. Your rights under California's Automatic Renewal Law are described in Section 8.
- New Jersey residents. Some provisions of these Terms, including certain disclaimers, limitations of liability, and indemnification terms, may not apply to you if they are not permitted under New Jersey law. Those provisions apply only to the extent New Jersey law allows.
- Residents of other states. If your state does not allow a limitation, disclaimer, or exclusion in these Terms, it applies to you only to the extent your state allows. Nothing in these Terms limits any right you have under law that cannot be waived by contract.
